<div><strong><span class="style3">The Collateral Loan Program, commonly called the “CD PROGRAM”, is an established system of financing that uses traditional banking mechanisms as its fundamental components. The result is a stable structure that procures 100% monetary instrument collateral for project financing. Using a well calculated and balanced approach, the program provides highly competitive benefits and profits to all participants.</span></strong></div>
<p></span></span></em></span></span><strong><span class="style3">A <strong>CD/MTN</strong> (<strong>Certificate of Deposit</strong>/ <strong>Medium Term Note</strong>) is merely a financial instrument that is backed by cash, and is freely transferable. The general structure of using the <strong>CD/MTN</strong> as a collateral instrument has existed for 50 years. Naturally, there are many firms and brokers who have used or attempted to use <strong>CD/MTN </strong>instruments as collateral in one way or another. Some professional firms have been successful, but many inexperienced intermediary brokers have failed.</p>
<p></span></strong></p>
<p>The “Program” itself is a mechanism of structuring third party collateral into the loan or funding package for project financing. Since this structure must be implemented through a series of complex legal contracts between multiple participants in the transaction, the CD/MTN Program must be managed by a licensed law firm.</p>
<p>The particular group of Providers and their investors who we work with have specialized in the system for over 20 years. The providers and investors are required by contract to participate in the program for a minimum of 5 years, so it is a well established system with reliable participants.</p>
<p>The “<strong>No Interest Loan Program</strong>” is one of the fastest systems for capital loans, using collateral from a third party investor, because the investor provides collateral by means of a “deposit” to purchase a “<strong>Certificate of deposit</strong>” (<strong>CD</strong>), the investor is called a “Depositor”. The end result of the transaction is the equivalent of an “interest free” loan (from the point of view of the client) in most cases, where the Client repays only a discounted amount of Capital, with minimal risk and maximum benefit to both the bank and the company.</p>
<p>The primary function of the structure is to procure collateral from a third party at a “discount”, and arrange for it to be paid for by the Borrower Company from the loan funds at the time of closing.</p>
<p>The collateral program is for projects that require a long start=up period before launching.</p>
<p>This program offers a deferment period ranging from 1-3 years. During the period of deferment, the Borrower/Company does not have to pay any interest or minimum payments. This is true even if your project is capable of repaying the loan (of any amount) in full within 3-4 years after launching.</p>
<p>The result of the structure is that Borrower receives a net amount of capital that it needs to implement its project at a cost lower than a traditional loan, the Depositor receives immediate repayment of the collateral plus profits, and the bank receives full collateral backing of the total principal amount of the loan.</p>
<p>The ability of the structure to reliably generate a “win-win-win” transaction for all participants is made possible by the fact that the CD/MTN instrument used as collateral doubles in value over a 10 year period. This increase in value from maturity of the CD/MTN makes it possible to provide real and tangible benefits for all parties to the transaction.</p>
<p>All other expense s related to structuring the loan and procuring the collateral are added to the amount of the loan, to ensure that they are paid from the loan at closing.</p>
<p>Depositors are multinational corporations and consortiums of trusts and pension funds, which have billions of dollars in liquid assets. They have contractual and legal obligations to make these funds work for maximum profits. For such capital resources, direct investment in projects is too “high risk”, too “low return”, and too much time to wait. Accordingly, they categorically refuse to finance actual projects or invest funds directly, as a matter of principle and policy.</p>
<p>Instead, Depositors accomplish their goals through purchasing collateral for use in loan transactions. Within about 24 hours, with no risk whatsoever, the Depositor receives 50% of its money back in “cash”, plus the “interest certificates” of the CD/MTN as repayment of the other 50%, which Depositor then sells to a pre-arranged “exit purchaser” for a profit.</p>

<p>Default is freely reportable to credit bureaus, especially if the<strong> loan </strong>is not repaid. Client cash tied usually to one brokerage account unless sold. Cash available by <strong>selling stocks</strong> outright from account, Regular account statements. Must apply to qualify for <strong>margin account</strong>; often minimum balance.</p>

<p><strong>Loan cash</strong> available for any legal purpose, not tied to account, <strong>cash loan</strong> means no sale of stock. <p>1. You submit compliance documentation</p>

<p>Our Private Currency Exchange is simple, just understand it does not matter what currency your Provider is looking for, the buyer will move first, we don&#8217;t do MT103 or MT799. We only do bank swift to bank swift or bluescreen. The buyer will show capability to do first tranch of 50M for up to 50b or 500m for larger than 50b. These things must be stressed. If after reading the below information and understanding what we do and you want to move forward, let us know, and we will send them the 3 docs required to start the process.</p>
<p>This is a Private Currency Exchange for EURO vs USD</p>
<p>1. OUR Provider is a Fed Licensed Private Exchange Bank. NOTE: IF the EUROP is not Fed Approved it will take a little longer for completion of this transaction. Due Diligence will be completed quickly. Normal process is less than a week from document submission to tranching!</p>
<p>Procedure: BLUE SCREEN OR BANK SWIFT TO BANK SWIFT.</p>
<p>Discount: 15/10</p>
<p>PLEASE NOTE: OUR USD PROVIDER DOES NOT DO MT103 OR MT799</p>
<p>2. Our USD Provider does not use anyone else&#8217;s contracts, as IT&#8217;S ISSUED DIRECT FROM THE BANK.</p>
<p>3. There are three documents that are required to begin any transaction with our group: CIS, PO Request, and IPPA. This must be done on THE PROVIDED Documents. which can be provided upon request IF the EUROP wants to move forward. We, are the direct contacts of the BANK&#8217;S INTAKE COORDINATOR, and there is no one between us and him.</p>
<p>4. Once the documentation is completed, these will be sent to Bank Intake Coordinator via the USD facilitator. From there the Intake Coordinator will follow with phone call to the Principle for verification. Once the introductory verification phone call has been completed, DD will be done, AND IF ALL IS IN ORDER, the contract will be prepared, and sent to the EUROP for review and signature.</p>
<p>5. These documents will have a life period of 72 hours from the time stamp of receipt.</p>
<p>6. COMMISSION STRUCTURE IS NORMAL:</p>

<p>EURO side split:</p>
<p>1.25 Euro group, mandate and Intermediaries (Your group)</p>

<p>7. THE EURO PROVIDER WILL MOVE FIRST WITHOUT EXCEPTION<br />
NOTE: BEFORE THE DOCUMENTS ARE SUBMITTED, PLEASE MAKE SURE THE PHONE NUMBERS AND EMAILS ARE CORRECT AND WORKING. ALSO, MAKE SURE THE Provider IS READY TO RECEIVE THE CALL. <p>Monetization is the process of converting something into legal tender. It usually refers to the printing of banknotes by banks, but things such as gold, silver and diamonds and land or mines can also be monetized. We do like to see a SKR with these hard assets.</p>
<p>Types of Instruments we monetize or lend on!</p>
<p>- SBLC&#8217;s<br />
- CD&#8217;s<br />
- MTN&#8217;s (To close on MTN’s, they has to be put in trust or in Escrow for the duration of the loan)<br />
- Investment Grade Securities<br />
- Bonds( Any Investment Grade)<br />
- Annuities (Has to be S&amp;P Rated)<br />
- BG&#8217;s (Illegal in the US however) (it will have to be converted to SBLC in the US with rated bond)</p>

<p>Where is it lodged?</p>
<p>What is the use of funds for?</p>

<p>1. Executive summary for use of funds. How did you acquire the instrument and exit strategy etc&#8230;</p>
<p>2. Front and back copy of the instrument… even the blank pages.</p>
<p>3. Phone number and Name of individual where who we can call to confirm where the instrument is lodged. SKR is nice too if available.</p>
<p>4. Bio on the client and if he has a company a bio on that too!</p>

<p>How to Get Financing When Banks Have Stopped Lending&#8230;</p>
<p>One of the biggest challenges that the owners of small and mid size businesses have is waiting 30 to 60 days to get paid on their invoices.</p>
<p>While large businesses can usually afford to wait, small and mid size businesses often cannot. As a matter of fact, waiting to get paid on their invoices, usually effects managements&#8217; ability to meet payroll or meet other company obligations. This can be even more frustrating if the business has a number of orders that it cannot fill because cash is tied in unpaid invoices.</p>
<p>How can factoring help you?</p>
<p>Invoice factoring, also known as accounts receivable factoring, is a financial tool that allows companies to capitalize on the power of their slow paying invoices. It enables them to convert their invoices into immediate cash, allowing them to fund their business operations. Invoices from strong credit-worthy commercial clients are excellent collateral, especially to factors. Although most banks aren&#8217;t interested in accounts receivable - invoice factoring companies are focused on providing financing based upon them. This makes it an ideal financing vehicle for small and mid size businesses.</p>
<p>How does factoring work?</p>
<p>As opposed to most banks that lend against collateral, invoice factoring companies buy invoices (the collateral) outright. The factoring company that buys invoices provides funds immediately, while they wait to get paid by your client’s customers. Perhaps, this transaction is best described with an example:</p>
<p>1. Assume that your business sells products/services to Company A and Company B. As soon as they provide their services, they issue invoices.</p>
<p>2. At the same time, you send copies of the invoices to the factoring company, who purchases them and provides an advance payment for them.</p>
<p>3. The factoring company waits to get paid by your customers… Once paid, any remaining funds are sent back to the company.</p>
<p>The invoice factoring process can be repeated for every invoice issued, providing a flexible line of financing that grows with the business.</p>
<p>How much will a factor advance my business?</p>
<p>The factoring transaction is commonly done as a two-installment sale. The first installment is called the advance and is paid to as soon as the invoices are submitted&#8230; Advances can range anywhere from 60% on the low end up to 90%. The average advance is about 75% (for the industry). The final installment, called the rebate, is sent to you once the invoice is paid.</p>
<p>The cost of invoice factoring</p>
<p>The cost of invoice factoring is determined on three criteria:</p>
<p>1. The credit worthiness of your customers.</p>
<p>2. The length of time your invoices take to get paid.</p>
<p>3. The monthly factored volume. Your cost, actually called a discount in the industry, can be as low as 1.5% or as high as 12%, per transaction depending on these criteria.</p>
<p>How can I determine if invoice factoring will help my business?</p>
<p>Generally speaking, invoice factoring will help you if you have a business that has reasonable profit margins or is growing quickly. Mid size companies with 20% or more profit margins or large companies with 15% profit margins can usually do well with accounts receivable factoring. An additional advantage of invoice factoring is that it does not require owners to give up equity &#8211; enabling them to grow their company without diluting ownership.</p>
<p>CLOSING: Typically under two weeks from initial contact to funding.</p>
<p>AUDIT REQUIREMENTS: None. No certified financial statement required. No audit by investor of financial performance.</p>
<p>PERFORMANCE GUARANTEE: Performance guarantee by principals to deliver conforming goods and proper services to customers is required.</p>
<p>PERSONAL GUARANTEE: None, investor assumes the credit risk of nonpayment.</p>
<p>ADVANCE RATE: Up to 75%.</p>
<p>COLLATERAL: UCC filing on all assets. (Will subordinate or release on assets other than Account Receivables to allow for funding from other sources.)</p>
<p>FACTORING TERM: Generally two (2) years.</p>
<p>RATES: Typically 2.5% of the face value of the purchased invoices for each month that account receivable is outstanding. No other fees charged either on the dollars outstanding or for the facility.</p>
<p>FACTORING/SALES VOLUME: Annual factoring volume of $1,000,000- $50,000,000.</p>
<p>CLIENT PROFILE: Investor will provide factoring to a broad array of industries with good quality receivables.</p>

<p>Monetization is the process of converting something into legal tender. It usually refers to the printing of banknotes by banks, but things such as gold, silver and diamonds and land or mines can also be monetized. We do like to see a SKR with these hard assets.</p>
<p>We even have a program that will get you a Instrument against your asset for trade.</p>
<p>To go forward we will need these questions answered&#8230;</p>
<p>Is the Instrument owned or leased?<br />
Do you have copy of the Instrument?<br />
Where is it now?<br />
Where is it lodged?<br />
What is the use of funds for?<br />
Are you just looking to have it monetized or are you open to Trade?</p>
<p>We need the following:</p>
<p>1. Executive summary for use of funds. How did you acquire the instrument and exit strategy etc&#8230;<br />
2. Front and back copy of the instrument… even the blank pages.<br />
3. Phone number and Name of individual where who we can call to confirm where the instrument is lodged. SKR is nice too if available.<br />
4. Bio on the client and if he has a company a bio on that too!</p>
